LICENSE AGREEMENT This License Agreement ("Agreement") is effective upon the Order submission by the Customer. ("Customer") and is by and between Customer and Say-It-Write.com, a South Carolina organization (SIW). 1. SERVICES: Customer requests for SIW to provide a work for literature (the "Literature") as is more fully described in the order form which Customer filled out on SIW's website (the "Order Form"). SIW has the unilateral right to refuse to perform any service or create any work of Literature it deems inappropriate or unacceptable for any reason. 2. TITLE: 2.1 This Agreement grants Customer only a license to use the Literature and does not grant or assign to Customer any legal or equitable title or other right in the Literature or to any enhancements, or modifications that SIW may make to the Literature in the future. Customer may not sell, assign, pledge, lease, transfer, license, sublicense or in any way encumber the Literature or this Agreement. 2.2 Customer hereby waives any right, title, and interest that Customer may have had in the Literature as a Work-for-Hire. If such right, title, or interest cannot be waived, or to the extent that it cannot be waived, Customer hereby assigns all such right, title, and interest that Customer may have in the Literature to SIW. 2.3 Notwithstanding the above, Customer grants SIW the right to sale, market, reproduce and otherwise use the Literature in any manner desired by SIW, without restriction. SIW is entitled to keep all revenues earned and / or received from any proceeds involving the Literature. 3. LICENSE, AND DELIVERY: 3.1 SIW grants Customer a personal, nontransferable, non-assignable and nonexclusive license to use the Literature subject to the terms of this Agreement, which license shall continue until terminated pursuant to the terms of the Agreement. 3.2 SIW shall deliver to Customer one copy of the most current edition of the Literature available for distribution to licensees on or before the effective date of this Agreement. Initial delivery of the Literature via the internet shall constitute fulfillment of SIW's obligation under this paragraph. 4. POSSESSION AND USE: 4.1 Customer acknowledges that the Literature is a proprietary product of SIW. Customer shall not allow any person or entity to transmit or reproduce the Literature in whole or in part in any manner except as permitted in this Agreement. Customer shall not disclose or otherwise make the Literature available to any person or entity other than Customer's personal use for non-commercial purposes. Customer agrees to use the Literature with a level of care sufficient to protect the Literature from unauthorized use or disclosure. These obligations are independent covenants and shall continue after the Agreement is terminated. 4.2 All use of the Literature shall bear the copyright and any and all trademark language which appear on the Literature as it is sent to Customer. 5. WARRANTIES: 5.1 SIW warrants that SIW has the right to license the Literature to Customer and agrees to defend Customer against all claims arising from the actual or alleged infringement by the Literature of the rights of third parties, provided that Customer notifies SIW in writing within 72 hours of the receipt by Customer of any such claim or notice of any such claim, and permits SIW upon request, and at SIW' cost and expense, to assume and control the defense or settlement thereof. Customer agrees to cooperate with SIW in every reasonable manner in the defense of such claim. In defending or settling any such claim SIW may elect to (i) obtain the right of continued use of such Literature or part thereof, which is alleged to be infringing or (ii) replace or modify such Literature, or part thereof, so as to avoid such claim of infringement and Customer will cease use of the edition of the Literature, or part thereof, which was replaced or modified. SIW will not be obligated to defend or settle any claim of infringement (i) asserted by a family member or agent of Customer, (ii) resulting from Customer's additions to, changes in, or modification of a Literature or (iii) resulting from Customer's use of the Literature in combination with non-SIW Literatures. 5.2 SIW warrants that it will create an original piece of literature as requested by the Customer. Such Literature may contain original literature that SIW has previously created, and / or may contain non-proprietary language from other authors. If such Literature is proven to be unoriginal pursuant to the terms of this paragraph, then SIW will correct such Literature to make an original creation. In any event, Customer's remedies are limited to the recreation of the Literature by SIW. 5.3 SIW warrants that it will use reasonable efforts to provide the Literature as requested by Customer. Customer acknowledges that such Literature is a work of art and may or may not appeal to Customer. Customer assumes the responsibility of payment for the Literature even though Customer may not like the end product, which is a matter of individual preference and cannot be guaranteed by SIW. 6. DISCLAIMER OF OTHER WARRANTIES AND LIMITATION OF REMEDIES: 6.1 THE WARRANTIES SET FORTH IN PARAGRAPH 5 ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS AND FITNESS FOR A PARTICULAR PURPOSE. 6.2 CUSTOMER'S REMEDIES AND SIW's LIABILITY UNDER THIS AGREEMENT ARE LIMITED TO THE REMEDIES AND LIABILITIES SET FORTH IN PARAGRAPH 5.1, 5.2 OF THIS AGREEMENT. 6.3 LICENSED LITERATURE IS ACCEPTED ON AN AS-IS BASIS WITHOUT ANY WARRANTY WHATSOEVER, EXCEPTING THOSE WARRANTIES SET FORTH IN PARAGRAPH 5 ABOVE. 6.4 UNDER NO CIRCUMSTANCES SHALL SIW BE LIABLE TO CUSTOMER OR OTHERS FOR ANY LOST PROFITS, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF THIS AGREEMENT REGARDLESS OF THE FORM OF THE ACTIONS, WHETHER IN CONTRACT OR TORT, LAW OR EQUITY. 6.5 IN ANY EVENT CUSTOMER AGREES THAT THE FULL LIABILITY TO CUSTOMER SHALL BE THE LICENSE CHARGE PAID BY THE CUSTOMER. THIS LIMITATION OF LIABILITY IF BASED IN PART ON THE PRICING. 8. PRICE AND PAYMENT: 8.1 Customer agrees to pay a License Charge stated on the Order Form. 8.2 Customer shall pay all taxes assessed or levied by any governmental entity that are now or may become applicable to this Agreement or measured by payments made under it or are required to be collected by SIW or paid by SIW to tax authorities. This includes, but is not limited to, sales, use, excise and personal property taxes, but does not include taxes based upon SIW' net income or foreign withholding taxes. 9. TERM AND TERMINATION. This Agreement shall be effective upon the order date. 10. GENERAL: 10.1 Any notices which are required to be given pursuant to this Agreement shall be in writing to the address set forth herein or to such other address as a party may designate in writing. Notices shall be deemed to have been given when they are received or should have been received by certified mail, return receipt requested. All notices to SIW should be sent to the attention of its President. 10.2 This Agreement: (i) constitutes the entire agreement between the parties and supersedes and merges any and all prior discussions, representations, demonstrations, negotiations, correspondence, writings and other agreements and together state the entire understanding and agreement upon which SIW and customer rely respecting the subject matter of this Agreement; (ii) may be amended or modified only in a writing agreed to and signed by the authorized representatives of the parties (iii) shall be deemed to have been entered into and executed in the State of South Carolina and shall be construed, performed and enforced in all respects in accordance with the laws of that State, and (iv) venue shall rest in Richland County, South Carolina. The prevailing party in any lawsuit shall have the right to receive attorneys' fees and costs of litigation. 10.3 Notwithstanding any acknowledgment by SIW of a purchase order submitted by Customer, any condition or provision in any such purchase order or other memorandum of Customer which is in any way inconsistent with, or which adds to the provisions of this Agreement, is null and void. 10.4 Neither party hereto shall be deemed to have waived any rights or remedies hereunder unless such waiver is in writing and signed by the authorized representative of the party. No delay or omission by either party hereto in exercising any right shall operate as a waiver of such right. A waiver of a right on any one occasion shall not be construed as a waiver of such right on any future occasion. All rights and remedies hereunder shall be cumulative and may be exercised singularly or concurrently. 10.5 The descriptive headings of the Agreement are intended for reference only and shall not affect the construction or interpretation of the Agreement. 10.6 Wherever the singular of any term is used herein it shall be deemed to include the plural wherever the plural thereof is applicable. 10.7 If any provision of the Agreement or the application thereof to any party or circumstances shall, to any extent, now or hereafter be or become invalid or unenforceable, the remainder of the Agreement shall not be affected thereby and every other provision of the Agreement shall be valid and enforceable to the fullest extent permitted by law.
